Habit Perfect Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Habit Perfect mobile application ("App") and any related services, content, or features (collectively, the "Service") provided by Auratheta, LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the United States. By downloading, installing, accessing or using the App, you agree to be bound by these Terms.

If you do not agree, do not use the App.

1. Definitions

• "App" means the Habit Perfect mobile application.
• "App Store" means the Apple App Store, Google Play Store, or any other digital storefront from which the App is obtained.
• "Company" means Auratheta, LLC, a U.S. company.
• "Device" means any device capable of accessing the Service.
• "Service" means the App and any related features, content, or functionality we make available.
• "You" means the individual using the Service or the entity on whose behalf the Service is used.

2. Eligibility

You must be at least 13 years old to use the Service. By accessing or using the Service, you represent and warrant that:

• you are at least 13 years of age;
• you have the legal capacity and authority to enter into these Terms; and
• all information you provide is accurate and complete.

If you are between 13 years old and the age of majority in your jurisdiction (typically 18), you may only use the Service with the permission and supervision of a parent or legal guardian who has reviewed and agreed to these Terms on your behalf. By permitting a minor to use the Service, that parent or legal guardian agrees to be bound by these Terms and accepts full responsibility for the minor's use of the Service, including any obligations, liabilities, or breaches arising from such use.

We do not knowingly collect personal information from children under 13 without verifiable parental consent in accordance with applicable law (including COPPA in the United States). If we learn that we have collected personal information from a child under 13 without such consent, we will delete it promptly.

We reserve the right to terminate or suspend any account if we believe the user does not meet these eligibility requirements.

3. License and Use Restrictions

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the App on devices you own or control, solely for your personal, non-commercial habit-tracking purposes, subject to these Terms.

You may not:

• Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the App or any part of it.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the App.
• Use the App in any manner that could interfere with, disable, or overburden its operation, servers, or networks.

4. Data Storage and Privacy

Your use of the App is subject to our Privacy Policy, which describes how we collect, use, and share information. By using the App, you also consent to our data practices as described in the Privacy Policy.

5. Subscriptions and Purchases

The Service offers paid features through auto-renewable subscriptions or a one-time lifetime purchase. Payments are processed through the App Store, and your purchase may be subject to that App Store's terms and policies.

5.1 In-App Purchases

The App may offer premium features through subscriptions or one-time purchases. Pricing, billing frequency, and feature details are presented at the point of purchase within the App.

5.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period, unless you cancel at least 24 hours before the current period ends. Your Apple ID or Google Play account will be charged for renewal within 24 hours prior to the end of the current period.

5.3 Free Trials

If a free trial is offered:

• At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel at least 24 hours before the trial ends.
• Any unused portion of a trial is forfeited when you purchase a subscription.

5.4 Managing Subscriptions

You may manage or cancel your subscription through your device's account settings (Apple App Store or Google Play Store). Cancellation takes effect at the end of the current billing period; you will retain access to premium features until that date.

5.5 Refunds

Refund requests are handled by Apple or Google in accordance with their respective refund policies. Auratheta does not process refunds directly for purchases made through app stores.

5.6 Lifetime Purchases

If we offer a one-time "lifetime" purchase option, that license grants you access to the Service and its features available at the date of purchase for as long as we continue to make it available. "Lifetime" refers to the lifetime of the Service, not your lifetime. We may discontinue or modify the Service at any time without prior notice. Your "lifetime" access does not entitle you to future updates, new features, continued server support, or maintenance beyond what is currently provided, and no refunds or compensation will be provided for discontinued access. We do not guarantee that lifetime access will include all future features or that the App will be maintained indefinitely.

6. Your Content

You retain ownership of the data and content you create within the App (such as habits, notes, logs, and goals). You grant us a limited license to store, process, and display that content solely as necessary to provide and improve the App's functionality.

7. Acceptable Use

You agree not to:

• Use the App for any unlawful, harmful, or fraudulent purpose.
• Attempt to gain unauthorized access to the App, its servers, or any connected systems.
• Transmit viruses, malware, or any other harmful code through or to the App.
• Interfere with or disrupt the App's operation or the experience of other users.
• Use automated means (bots, scrapers, etc.) to access or interact with the App.

8. Health and Wellness Disclaimer

The App is designed for general habit tracking purposes only. The App is not a medical device and is not a substitute for professional medical or mental health treatment. Do not use the App to diagnose, treat, cure, or prevent any medical condition. Always consult a qualified healthcare provider with questions about your health.

9. Intellectual Property

All rights, title, and interest in the App, including its design, code, graphics, logos, trademarks, and content (excluding your content), are and remain the exclusive property of Auratheta, LLC. These Terms do not grant you any rights to our trademarks or branding.

10. Third-Party Services

The App may contain links to or integrations with third-party services. We do not control and are not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to their respective terms.

11. Termination

You may stop using the App at any time by deleting it from your device and, if applicable, canceling your subscription.

We may suspend or terminate your access to the App immediately, without prior notice, if you violate these Terms, engage in conduct that may harm the Company or other users, or if required by law. Upon termination, your license to use the App ceases. Sections that by their nature should survive termination (including Sections 6, 8, 9, 12, 13, 14, and 15) will continue in effect.

12. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected. You use the App at your sole risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AURATHETA, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Auratheta, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your use or misuse of the App.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles.

Before filing any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. If an informal resolution is not reached within 30 days, either party may pursue formal proceedings.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, when appropriate, notify you through the App or by other means. Your continued use of the App after any changes constitutes your acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Auratheta, LLC regarding your use of the App and supersede any prior agreements.
